Each membership level includes four parameters:
There are five levels of club membership ranging from Bronze to Diamond, each of which includes four main parameters.
- The maximum total amount that can be invested in Blast Club during the validity of the membership (1 year).
- The maximum amount that can be invested in each fundraising round(the allocation).
- The number of Priority Vouchers that guarantee a place in a fundraiser even in the event of over-subscription.
- The proportion of the total fundraising allocated to members of a level.
STEP 1
Subscription intents
For two weeks, all information on the fundraising project is available on the Blast.Club website. During this period, each member must enter the amount they would like to invest (the intent) and notify whether they want to use a priority voucher, a booster or not.
The amount of the intent cannot exceed the maximum amount relative to its level. However:
- This amount may be lower and should always be rounded down to thousands of euros.
- Also, the member can also indicate whether he/she wants to place an option for a higher amount, which will only be taken into account in the event of undersubscription.
Example: A silver member can subscribe up to a limit of €5,000 per project. He /she will therefore have the choice of investing €5,000, €4,000, €3,000, €2,000, or €1,000. He/she will also be able to place an option up to an additional €5,000, taken into account only in case of undersubscription.
STEP 2
Counting intents
At the end of the intent information period, we calculate the sum of the amounts that all members want to invest and thus determine whether the round is oversubscribed or undersubscribed.
In the event of undersubscription:
A fundraising round is said to be undersubscribed if the sum of intents is less than the total amount to be raised. In this case, all investors who have notified their intent to invest can participate in the fundraising, up to the sum of their intent, or their intent plus their option if applicable.
In the event of oversubscription:
A fundraising round is said to be oversubscribed if the sum of the intents is greater than the total amount to be raised. In this case, not all investors who have notified their intent to invest will be able to obtain an allocation equivalent to their intent. This is where the algorithm comes into play.
STEP 2 Bis
Selection by the algorithm in the case of general over-subscription
The Blast.Club selection algorithm is only used if the sum of intents is greater than the total amount to be raised. Its aim is to allow as many members as possible to obtain an allocation without exceeding the amount to be raised.
a) Allotment of priority vouchers allocations
As a reminder, when a member uses a priority voucher or a booster, he/she is both certain to obtain an allocation in the fundraising round and certain that his/her allocation will not be reduced. The algorithm will therefore always start by attributing the allocations of members who have used a priority voucher.
Special case: In the very rare event where within the Gold, Platinum or Diamond levels, the sum of subscription intents made by members using their priority voucher is greater than the total amount allocated at this level, then the allocations of each are proportionally reduced in order not to exceed the maximum amount to be raised.
b) Allocation and calculation of allowances for other members
The remaining unallocated amount is then allocated by applying the same divisor to each intent.
Example: the X fundraising round has a maximum target of €1,000,000:
- The total amount of intents amounts to €2,000,000 for 2,000 intents including €100,000 of intents submitted by 100 members who used a priority voucher or booster.
- €100,000 will be automatically allocated to the 100 members who have used a priority voucher or a booster.
- This leaves €900,000 to be allocated to the remaining 1,900 intentionists.
- 1,900,000€/900,000=2.11 is the divisor.
- If you have invested €1000 without using a priority voucher or booster, you will receive an allocation of €474 in this operation, i.e. 47% of your intent.
STEP 3
Subscriptions
Members who have indicated their intent to subscribe receive an email in order to finalize their participation in the fundraising round. The amount that they will then have to invest cannot be different from that entered during the intent phase except in the case of over-subscription where their intent has been reduced.
STEP 4
Legal and administrative finalization
Once all subscriptions have been received and information collected, Blast Club's legal teams take charge of completing the capital increase and subscribing to the startup's fundraising.
STEP 5
You are a shareholder!
Once the fundraising has been legally completed, you will have access to your subscription form directly on your Investor account.
